Service Agreement

An English translation of the Turkish Service Agreement you accept when opening a panel account.

This is a convenience translation. The Turkish text is the legally binding version and prevails in case of any conflict. This translation is a draft pending legal review. Read the Turkish original

This document is written for services in Türkiye. For Google Ads management abroad, the contract terms are sent to you in writing before signing.

Parties and subject

This agreement is between raxads ("we") and the business that opens the panel account ("you"). The services are intended for businesses; the person opening the account declares that they are authorised to act on behalf of the business.

The subject is the services you choose in the offer or in the panel: Haritada İlk 3 (Top 3 on the Map; Google Business Profile management), Google Ads management, SEO and website. The scope, fee and start date are written in the offer and in your panel.

Results

For the Haritada İlk 3 service we give a fee guarantee. Top 3 guarantee: if we cannot get into the first 3 results on Maps, we do not charge that month's fee. Condition: in the measurement of a month after setup, if in a search made from the point where your business is located you are not among the first 3 results on Maps for any of your 3 target keywords, we do not charge that month's fee. The measurement rule is written in the agreement. This guarantee consists solely of not charging that month's service fee; it does not give rise to any further compensation.

For SEO, Google Ads and website services we do not guarantee rankings or advertising results; we make no promise of a particular position or number of clicks, calls or customers. What we promise is the process.

The weekly report arrives every Monday in your panel and your email.

Advertising budget and accounts

The advertising budget is not included in the service fee; it is paid to Google directly from your payment method. The Google Ads and Business Profile accounts are in your name; you can remove our access at any time.

Google's policy, approval, suspension and pricing decisions are not under our control. We are not responsible for consequences arising from these decisions; we help you find a solution.

Fee, payment and pausing

The service fee is paid in advance at the start of each period (bank transfer, card or cash). The end date of each service is shown in your panel; you are reminded by email 7, 3 and 1 day before the end date.

If payment is not received by the end date, the service is paused: the campaigns we manage are stopped and automatic optimisation does not run. Once the payment is recorded, the campaigns stopped by the system are reopened.

Term and termination

It renews monthly; you can leave with 30 days' notice. There is no penalty clause; the termination conditions are written in the agreement.

On termination, the fee for the service provided up to that day is paid; the fee for periods paid in advance whose service has not started is refunded.

Your obligations

You are responsible for the accuracy and lawfulness of your business information, your website and the claims in advertising texts (price, discount, scope of service). If there are advertising restrictions specific to your profession (e.g. health and law), you notify us.

You grant the access needed for the service (Google Ads invitation, Business Profile manager role) on time; if access is delayed, the work is delayed too.

Limitation of liability

Except for intent and gross negligence, our liability is limited to the total service fees paid to us in the last 3 months. Indirect damage, loss of profit and damage arising from the decisions of third parties (including Google) are outside this agreement.

Confidentiality and personal data

We use the information in your accounts only for the service and do not give it to third parties. Personal data is processed in accordance with the KVKK Notice and the Privacy Policy.

Records and evidence

Acceptance of the agreement, changes to name, phone and email, logins, changes in the advertising account and the notifications we send are recorded with date and time in a form that cannot be altered. The parties accept that these electronic records constitute evidence under Article 193 of the Code of Civil Procedure (Hukuk Muhakemeleri Kanunu); the right to present counter-evidence is reserved.

Notifications are sent to the email address in your account; keeping your address up to date is your responsibility.

Governing law and jurisdiction

Turkish law applies. The Istanbul (Central) courts and enforcement offices have jurisdiction over disputes.
